Terms of Service

By using Flipped ("the Service"), you agree to these Terms. If you do not agree, do not use the Service.

1. Service Description

Flipped provides an AI-powered coding assistant integrated with VS Code. The Service lets you interact with AI models on your local machine through our API proxy, manage sessions, and access your workspace.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have a parent or guardian's consent. By creating an account, you represent that you meet these requirements.

3. Accounts

• You are responsible for maintaining the security of your account credentials.
• You may not share your account access tokens with third parties.
• You must provide accurate registration information and keep it updated.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of others.
• Distribute malware, viruses, or other harmful code.
• Launch denial-of-service attacks or abuse API rate limits.
• Use the Service for automated scraping or data mining without our permission.
• Generate content that is illegal, harmful, abusive, or discriminatory.
• Attempt to reverse-engineer the backend AI models or proxy infrastructure.

5. AI Output

AI-generated content is provided as-is. We make no guarantees about accuracy, safety, or suitability. You are responsible for reviewing and validating any code or output before using it in production. The AI may occasionally produce incorrect or harmful outputs.

6. Intellectual Property

You retain all rights to the code and content you create using the Service. We claim no ownership over your inputs or outputs. The Service itself — including its proprietary software, branding, and infrastructure — is owned by Flipped and protected by applicable intellectual property laws.

7. Third-Party Services

The Service uses third-party AI providers (including Anthropic and OpenAI) to process your requests. These providers' own terms and policies may apply to your data as described in our Privacy Policy. We are not responsible for the acts or omissions of third-party providers.

8. Payment and Billing

• Certain features may require payment. Fees will be clearly displayed before you subscribe.
• Subscriptions automatically renew unless canceled before the renewal date.
• Refunds are handled on a case-by-case basis. Contact us for refund requests.
• We may change pricing with 30 days notice (except for grandfathered plans).

9. Limitation of Liability

To the maximum extent permitted by law, Flipped shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Service. Our total liability for any claim shall not exceed the amount you have paid us in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

11. Termination

We may terminate or suspend your access at any time, with or without cause or notice. Upon termination, your right to use the Service immediately ceases. Sections 9, 10, and 12 survive termination.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes take effect constitutes acceptance of the new Terms.
